1. Introduction

These Terms of Service ("Terms") govern your access to and use of the online service that accepts audio and video files and uses automated transcription technology to generate text, together with its website, account features, and related services (collectively, the "Service," "we," "us," or "our").

By accessing or using the Service, creating an account, uploading a file, or otherwise indicating your acceptance, you agree to these Terms. If you do not agree, do not use the Service.

These Terms apply whether you use the Service as an individual or on behalf of an organization. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes both you and the organization.

2. Eligibility

The Service is not directed to children. You must be at least 13 years old and meet any higher minimum age required where you live to consent to data processing or enter into these Terms.

If you are old enough to use the Service but have not reached the age of legal majority where you live, you may use the Service only with permission from a parent or legal guardian.

You may not use the Service if applicable law prohibits you from doing so.

3. Accounts and Security

Some features may require an account. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for:

  • Maintaining the confidentiality of your credentials
  • Activities performed through your account, except to the extent caused by our breach of these Terms or applicable law
  • Promptly notifying us if you suspect unauthorized access or a security incident

You may not share credentials in a way that compromises the Service, impersonate another person or organization, or create accounts through unauthorized automated means.

4. Access to the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose of converting supported audio and video files into text.

Supported formats, file-size limits, processing times, output options, usage limits, and other technical requirements may be shown in the Service and may change as the Service develops. A file may be rejected or a transcription may fail if the file is unsupported, corrupted, inaccessible, too large, contains insufficient audible speech, or cannot be processed for technical or safety reasons.

The Service may change over time. We may add, modify, suspend, or discontinue features, subject to applicable law and any specific commitments made when you purchased a paid feature. We do not guarantee that every feature will always be available or compatible with every file, device, browser, or integration.

You are responsible for obtaining the equipment, connectivity, files, and permissions needed to use the Service.

5. Automated Transcription and Results

The Service uses automated technology to process source audio or video and generate a text transcript. Transcripts are generated by machines and are not necessarily reviewed by a person.

Automated transcripts may contain errors, omissions, incorrect punctuation or formatting, inaccurate speaker attribution, or words that do not match the source media. Quality may vary because of recording conditions, accents, languages, overlapping speech, background noise, audio quality, or other characteristics of the file.

You are responsible for reviewing and correcting a transcript before relying on it, publishing it, sharing it, or using it for an important purpose. A transcript is not an official record, certified transcription, or substitute for professional legal, medical, financial, or other advice. You must not rely on a transcript as the sole basis for a decision that may significantly affect a person's rights, safety, health, employment, housing, credit, education, or access to essential services.

6. Acceptable Use

The Service is a non-adult-content service. You must not use the Service to upload, store, process, transcribe, create, transmit, distribute, promote, or facilitate:

  • Pornographic, sexually explicit, sexually exploitative, or sexually abusive content
  • Any sexual exploitation or abuse of minors, or any content that depicts, promotes, or facilitates such conduct
  • Illegal activities, goods, services, recordings, or content
  • Audio or video recorded, obtained, disclosed, or used without the rights, notices, permissions, or consents required by law
  • Unauthorized surveillance, interception, monitoring, or disclosure of private or confidential communications
  • Fraud, deception, phishing, spam, or other abusive communications
  • Harassment, stalking, hate, discrimination, or credible threats of violence
  • Content that infringes intellectual property, privacy, publicity, confidentiality, contractual, or other rights
  • Malware, malicious code, destructive payloads, or attempts to compromise systems or data
  • Unauthorized scraping, probing, testing, reverse engineering, or access to accounts, systems, or networks

You also must not:

  • Interfere with the operation, security, or integrity of the Service
  • Bypass usage limits, access controls, content restrictions, or safety measures
  • Misrepresent an automated transcript as a certified, verbatim, or human-verified record
  • Use the Service or a transcript in a way that materially harms us, another person, or a third party
  • Resell or commercially exploit the Service unless expressly permitted
  • Help another person engage in conduct prohibited by these Terms

We may investigate suspected violations and take proportionate action, including rejecting or removing content, limiting features, suspending accounts, or terminating access. Where appropriate or legally required, we may preserve information and cooperate with lawful requests from authorities.

7. User Content

"User Content" means source audio or video, file names and related information, instructions or other material you submit, transcripts generated from your files, feedback, and other content you provide through the Service.

You retain your rights in User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, convert, format, and otherwise process User Content only as reasonably necessary to:

  • Receive and validate source files
  • Generate and deliver requested transcripts
  • Store or display results and enable requested features
  • Operate, maintain, troubleshoot, and secure the Service
  • Prevent abuse and enforce these Terms
  • Comply with applicable law

This license allows us to use service providers that support infrastructure, storage, authentication, payments, communications, and automated transcription, but only to the extent reasonably necessary to provide their functions for the Service. The license lasts while User Content is stored or processed and for a reasonable period in backups, logs, or records maintained for security, dispute resolution, or legal compliance.

You represent that you have all rights, licenses, notices, permissions, and consents needed to record, obtain, upload, process, and transcribe User Content. This includes permissions relating to speakers, participants, copyright owners, confidential information, personal information, and any organization on whose behalf you act. You remain responsible for User Content, its legality, and how you use or share any transcript.

If you provide ideas or feedback about the Service, we may use them without restriction or compensation, provided that doing so does not identify you publicly without permission.

8. Intellectual Property

The Service, including its software, design, text, graphics, logos, and other content supplied by us, is owned by us or our licensors and is protected by intellectual property laws.

Except for the limited right to use the Service under these Terms, no rights are transferred to you. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Service unless applicable law permits it or we give written permission.

9. Paid Features, Subscriptions, and Billing

This section applies only if the Service offers paid features.

Prices, billing periods, included transcription allowances, file or usage limits, trial terms, and other purchase details shown when you place an order form part of your agreement with us. You authorize us and our payment processors to charge the payment method you provide for the amounts shown at checkout, including applicable taxes and fees.

Payment processors may collect and process payment credentials directly under their own terms and privacy policies. We may receive transaction identifiers, customer identifiers, subscription status, invoice details, and other information needed to provide paid features.

If a purchase is described as a recurring subscription, it will automatically renew for the period disclosed at purchase until canceled. You may cancel through the account controls or customer portal made available by the Service. Unless the purchase terms or applicable law state otherwise, cancellation takes effect at the end of the current paid period and does not retroactively refund prior charges.

Refunds, credits, unused allowances, trial conversions, and price changes are governed by the terms shown at purchase and applicable law. We will provide notice of material subscription or price changes when required.

If payment fails or remains overdue, we may limit or suspend paid features after any notice or cure period required by applicable law.

10. Service Providers and Third-Party Services

The Service may rely on service providers for infrastructure, storage, automated transcription, authentication, payments, communications, analytics, security, or other supporting functions. These providers may process User Content or other information only when the related function is used and as reasonably necessary to provide that function.

The Service may also link to or interoperate with third-party products that we do not control. Your use of an independently provided third-party product may be governed by that provider's terms and privacy policy. We are not responsible for third-party products that we do not control, and we do not endorse third-party content merely because it is linked to or accessible through the Service.

11. Privacy and Similar Technologies

Our Privacy Policy explains how personal information, source media, transcripts, and related service data are handled. Our Cookie and Similar Technologies Policy explains how cookies, local storage, pixels, scripts, and related technologies may be used.

12. Suspension and Termination

You may stop using the Service at any time. If account deletion is available, you may request it through the Service or by contacting us.

We may reject a file or restrict, suspend, or terminate access if we reasonably believe that:

  • You materially or repeatedly violated these Terms
  • Your User Content or use creates a security, legal, rights, safety, or operational risk
  • Payment for a paid feature is overdue
  • Suspension is necessary to protect users, third parties, service providers, or the Service
  • We are required to do so by law

When reasonably practicable, we will provide notice and an opportunity to address the issue. We may act immediately in urgent cases involving security, fraud, illegal conduct, sexual exploitation, unauthorized surveillance, or risk of harm.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive will remain in effect, including provisions concerning intellectual property, User Content licenses needed for retained backups or legal records, payment obligations, disclaimers, liability, indemnity, and general terms.

13. Disclaimers

To the maximum extent permitted by law, the Service and all transcripts are provided "as is" and "as available." We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components; that every file will be accepted or successfully processed; or that any transcript will be complete, accurate, properly formatted, correctly attributed, or suitable for your needs.

Nothing in these Terms excludes warranties, guarantees, or other rights that cannot lawfully be excluded, including mandatory consumer rights.

14. Limitation of Liability

To the maximum extent permitted by law, neither we nor our affiliates, licensors, or service providers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, User Content, transcripts, or business opportunities arising from or related to the Service.

To the maximum extent permitted by law, our total liability for all claims arising from or related to the Service will not exceed the greater of:

  • The amount you paid for the Service during the 12 months before the event giving rise to the claim
  • The minimum amount of liability that applicable law requires

These limitations do not apply to liability that cannot lawfully be limited, including liability for fraud, willful misconduct, gross negligence, or death or personal injury caused by negligence where applicable law prohibits limitation.

15. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold us harmless from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful User Content, your recording or transcription without required rights or consent, your material violation of these Terms, or your infringement of another person's rights.

This section does not require a consumer to indemnify us to the extent prohibited by applicable consumer law.

16. Governing Law and Disputes

These Terms are governed by the laws that apply to the operator of the Service and your relationship with the Service, without depriving you of mandatory protections available where you live.

Before filing a formal claim, you and we agree to try to resolve the dispute informally by providing a written description of the issue through our contact page. Either party may seek urgent injunctive or equitable relief where appropriate.

Any unresolved dispute may be brought before a court or tribunal that has jurisdiction under applicable law. These Terms do not require arbitration or waive a right to participate in a class or representative action where such a waiver would be invalid.

17. Changes to These Terms

We may update these Terms to reflect changes to the Service, law, security practices, or business operations. The updated Terms will be posted on this page with a revised effective date.

If a change materially affects your rights, we will provide additional notice when required by law. Your continued use after updated Terms take effect constitutes acceptance only to the extent permitted by applicable law.

18. General

These Terms, together with any purchase terms and policies expressly incorporated into them, form the entire agreement concerning the Service.

If a provision is unenforceable, it will be enforced to the greatest extent permitted and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, but we may assign them as part of a merger, acquisition, reorganization, or transfer of the Service, subject to applicable law.
